LEGAL COMPLIANCE COMMITMENT CLAUSE:
THIS Constitution and Rules of the Progressive Assembly Welfare Association (EmPAWAKENYA) are made in legal compliance with Section 19 and Schedule to the Act of the Societies Act (Cap. 108, Laws of Kenya) and in conformity with, inter alia, Article 36 and the whole of the Bill of Rights of the Constitution of Kenya, 2010.
THE Association shall at all times operate lawfully within and beyond the borders of the Republic of Kenya, and nothing in its Constitution and Rules of the Association shall be construed as authorizing any conduct contrary to the written laws of Kenya.
IN order to comply with the provisions of the Constitution of Kenya, 2010, the Societies Act (Cap. 108), and all other applicable laws, the Association asserts the following guiding provisions:-
1. Supremacy of the Constitution of Kenya, 2010
The Association affirms that it is established, governed, and shall operate in fidelity to the Constitution of Kenya, 2010, and in particular The Bill of Rights, inter alia, thereof relating to freedom of association, access to justice, human dignity, public participation, access to information, property rights, socio-economic rights, and the recognition of welfare bodies.
2. Observance of the Societies Act, Cap 108 and Laws of Kenya
The Association shall at all times comply with the Societies Act, Cap 108, and all other applicable written laws, regulations, and lawful directives issued by competent authorities, provided that no law, regulation, or directive inconsistent with the C.o.K, 2010 shall bind the Association.
3. Registrar of Societies
The Association fully recognizes the oversight mandate and powers of the Registrar of Societies as provided in the Societies Act, (Cap 108) and undertakes to furnish all returns, accounts, and records as required by law.
4. Accountability and Transparency
The Association shall conduct its affairs in a manner that upholds the national values and principles of governance under Articles 10 and 73 of the Constitution of Kenya, 2010, including transparency, accountability, inclusiveness, participation of members, and good governance.
5. Dispute of Law and Interpretation
In the event of any inconsistency between the Constitution and Rules of the Association and the provisions of the Societies Act, (Cap 108) or other written laws, the Constitution of Kenya, 2010 shall prevail to the extent of the inconsistency, pursuant to Article 2(4) of the Constitution of Kenya, 2010.
6. Amendments
Amendments to the Constitution and Rules of the Association shall be made in accordance with Section 20 of the Societies Act, Chapter 108 Laws of Kenya, and no amendment shall take effect until it has been duly admitted and registered by the Registrar of Societies.
